Terms of Service

These Terms of Service ("Terms") set forth the conditions for using the Discord voice bot service "Memolin" (the "Service") provided by MiniPro (trade name: Memolin, "we", "our").
Article 1 (Applicability)
These Terms apply to all relationships between users and us in connection with use of the Service. By using the Service, users agree to these Terms.
Article 2 (Definitions)
- "User" means any individual or entity using the Service.
- "Paid Plan" means any monthly subscription plan separately defined by us.
- "External Services" means Discord, Stripe, and AI service providers used by us.
Article 3 (Formation of Service Agreement)
A service agreement under these Terms is formed when a user starts using the Service. A Paid Plan becomes effective when the designated sign-up and payment process is completed.
Article 4 (Fees, Payment, and Auto-Renewal)
- Paid Plans are billed monthly in USD.
- Fees, features, usage limits, retention periods, and other plan conditions are shown on the subscription screen, payment screen, our website, or individual guidance.
- If a free trial or coupon is offered, it will be shown on the subscription screen or in individual guidance.
- Subscriptions renew automatically each month and end only when cancellation is completed before renewal.
- We may change fees, plan details, usage limits, and other service conditions prospectively after providing legally required disclosures or notices.
- Final charged amounts may vary due to taxes, exchange rates, or card issuer fees.
Article 5 (Prohibited Conduct)
Users must not engage in any of the following:
- Violations of laws or public order and morals
- Infringement of our rights or any third-party rights
- Unauthorized access, excessive requests, or other operational interference
- Violations of Discord or other External Service rules
- Use of the Service for criminal, fraudulent, or other improper purposes
- Recording, transcribing, or summarizing meetings without providing required notices to, or obtaining required consent from, meeting participants
- Using Service outputs as the sole basis for legal, medical, financial, or other professional decisions without reviewing them
Article 6 (Restriction of Use and Termination)
We may, without prior notice, suspend all or part of a user's access, restrict account functions, or terminate the service agreement where the user violates these Terms or where we reasonably determine that such measures are necessary for proper operation of the Service.
Article 7 (Suspension, Changes, and Termination of Service)
We may suspend or interrupt all or part of the Service without prior notice when reasonably necessary for maintenance, incident response, security actions, or operations. We may also modify or terminate the Service, including its features, plans, usage limits, retention periods, and External Service integrations, within a reasonable scope. The Service may become unavailable in whole or in part due to specification changes, outages, restrictions, or terms changes of Discord, Stripe, cloud hosting providers, AI service providers, or other External Services.
Article 8 (Intellectual Property)
All copyrights, trademarks, and other intellectual property rights related to the Service belong to us or legitimate rights holders. Users may not use such rights except as permitted by law or explicitly authorized by us.
Article 9 (Data Handling and AI Processing)
- Collection, use, retention, and deletion of data in the Service are governed by the Privacy Policy.
- Cookies and outbound transfer practices are governed by the Cookie & Outbound Transfer Policy.
- We may entrust data processing to External Services only to the extent necessary to provide the Service.
- We do not use user data for AI model training, retraining, fine-tuning, or any equivalent learning purpose, unless we have the user's explicit consent.
- Users are responsible for providing required notices to, and obtaining required consent from, meeting participants for recording, transcription, summarization, and AI processing in accordance with applicable law, organizational rules, and Discord server rules.
Article 10 (Exclusion of Anti-Social Forces)
- Users represent and warrant that they and their officers are not anti-social forces, and that they have no involvement with such forces.
- If we determine that a user violates the preceding paragraph, we may terminate the service agreement and suspend use of the Service without prior notice.
Article 11 (Disclaimer of Warranties)
The Service is provided "as is" and "as available." We make no warranties, express or implied, including completeness, accuracy, continuity, fitness for a particular purpose, non-defectiveness, or conformity with user expectations. Transcripts, summaries, decisions, tasks, and other AI-generated outputs may contain errors or omissions, and users are responsible for reviewing them before use.
Article 12 (Damages and Limitation of Liability)
- We are liable for damages arising from or in connection with the Service only to the extent permitted by applicable law.
- Where mandatory consumer protection laws apply and we are liable due to ordinary negligence, our liability is limited to ordinary and direct damages actually incurred, capped at the total fees paid by the relevant user during the 12 months preceding the event giving rise to liability.
- The foregoing limitation does not apply to our willful misconduct or gross negligence, or where liability cannot be limited under applicable law.
- To the extent permitted by applicable law, we are not liable for lost profits, indirect damages, special damages, or consequential damages.
- If any part of this Article is invalid under mandatory law, such part will be interpreted and adjusted only to the extent necessary to comply with applicable law.
Article 13 (Changes to Terms)
- We may revise these Terms where reasonably necessary due to legal changes, social or business circumstances, service updates, or similar reasons.
- Any such revision will be made only where the change benefits users generally, or where the change is consistent with the purpose of these Terms and is reasonably necessary and appropriate.
- We will provide notice of the revised Terms and their effective date at least 14 days before the effective date by posting on our website or by another method we consider appropriate. However, changes that do not disadvantage users, wording corrections, supplements related to feature additions, or changes required urgently for legal or security reasons may take effect when posted or on a date we specify.
- Revised Terms apply from the effective date announced under the preceding paragraph.
Article 14 (Prohibition on Assignment)
Users may not assign, transfer, pledge as collateral, or otherwise dispose of their contractual position or any rights or obligations under these Terms to any third party without our prior written consent.
Article 15 (Severability)
If any provision of these Terms, or part thereof, is held invalid or unenforceable under applicable law, the remaining provisions and the remaining parts thereof shall continue in full force and effect.
Article 16 (Method of Notice)
Notices from us to users may be made through in-service notices, messages to registered contact points, postings on our website, or other methods we consider appropriate.
Article 17 (Governing Law and Jurisdiction)
These Terms are governed by Japanese law. To the extent permitted by applicable law, any dispute related to the Service shall be subject to the agreed jurisdiction of the court having jurisdiction over our principal business location in the first instance.
